These terms are an agreement between you and MartensLink AB, a Swedish limited company (corporate identity number 559580-3437, VAT number SE559580343701), Roslagstullsbacken 13C, 114 21 Stockholm, Sweden (“MartensLink”, “we”, “us”). They apply when you use our website martenslink.com, our software and anything we offer with them (each a “Service”, together the “Services”).
By installing, opening, using or buying a Service, you accept these terms and the product terms for that Service (see section 2). If you use a Service on behalf of an organisation, you confirm that you may accept these terms for it, and “you” then means that organisation.
Paddle.com is the Merchant of Record for the orders you place with us, for example on our website or in our add-ons. Paddle handles checkout, payments, invoices, sales tax and VAT, and refunds on our behalf. Paddle’s own Buyer Terms also apply to those purchases: paddle.com/legal/buyer-terms. Purchases made in an app store are covered in section 8.9.
1. Summary in plain words
This summary does not replace the full terms below.
- These terms apply to all our Services. Each Service also has its own product terms for what applies only to it.
- You can try our Services for free where there is a free tier. A subscription renews automatically until you cancel it, and cancelling takes effect from the next period.
- Our Refund Policy describes when you can get your money back, including a 14-day money-back guarantee.
- If terms that apply to you change, we tell you in advance. New Services do not change the terms for the Services you already have.
- We work hard to make the Services reliable, but we cannot promise that they will never fail. Check important things yourself.
2. Which terms apply
The agreement between you and us consists of:
- these Terms of Service, which apply to all Services;
- the product terms for each Service that you install, open, use or buy. They describe what applies only to that Service and are found on the Service’s page on our website;
- our Refund Policy.
The product terms for a Service apply to you from the moment you install, open, use or buy it. If the product terms and these terms say different things about a Service, the product terms for that Service apply.
How we handle personal data is described in our Privacy Policy and in the privacy policy for each Service.
3. Who can use the Services
You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding agreement. You may not use the Services if you are subject to sanctions or live in a country where this is prohibited.
We sell to both consumers and businesses. If you are a consumer, you keep every right that the law of your country gives you, and nothing in these terms limits those rights.
4. The Services
4.1 What the Services do
What a Service does and which features it has is described on our website, in the Service and in its product terms.
4.2 Free and paid
A Service may have a free tier with limits and one or more paid tiers. The current limits and prices are shown on our website. How we may change a free tier is set out in the product terms.
4.3 Changes to the Services
We improve the Services continuously, and we may add, change or remove features. If we remove a feature that is a material part of what you pay for, we will tell you in advance. If you are on a paid plan and the change materially reduces the Service, you may cancel and receive a proportional refund for the unused part of your prepaid period.
4.4 Previews
Features marked “preview”, “beta” or similar may be incomplete and may change or be removed. They are provided as they are.
5. Third-party services
The Services depend on services that we do not control, for example Google, Paddle and payment services that you connect yourself. Your use of those services is governed by their terms, and you are responsible for keeping your accounts with them in good standing.
We are not responsible for third-party services, their availability, limits, changes, fees or decisions. If a third party changes its service in a way that prevents a feature from working, we will try to adapt, but we cannot guarantee that we can.
6. Licence
While you follow these terms, we give you a personal, non-exclusive, non-transferable and revocable licence to use the Services for your own purposes and those of the organisation you represent.
You may not:
- copy, modify, resell, sublicense or redistribute the Services, or build a competing product from them;
- reverse engineer the Services, except where the law allows this despite this restriction;
- get around licence checks, usage limits or security measures;
- use the Services in a way that breaks the law, harms others, or breaks the terms of the services mentioned in section 5;
- send spam or unlawful marketing, or collect personal data that you have no lawful right to process;
- use the Services to process payments for prohibited goods or services, or for fraud;
- overload, disrupt or attack the Services or anyone’s systems.
7. Your content
7.1 You own your content
Everything that you, or others you let use the Services, create or enter through the Services is “Your Content”. You keep all rights to it. We claim no ownership of it.
7.2 Data you share with us in support
If you share Your Content with us when you ask for help, for example a screenshot or a copy of a file, section 12 applies.
8. Prices, payment and subscriptions
8.1 Prices and taxes
Prices are shown on our website and at checkout. Paddle adds VAT or sales tax where it applies, based on where you are and whether you buy as a business. The price at checkout is the price you pay.
8.2 Subscriptions renew automatically
Paid tiers are sold as monthly or yearly subscriptions. A subscription renews automatically at the end of each period, at the price then in force, until you cancel. Paddle charges the payment method you chose.
A subscription is linked to the account set out in the product terms. If you need to move it to another account, our support will help you.
8.3 Cancelling
You can cancel your subscription at any time: in the Service where the product terms say so, through the link in your Paddle receipt, at paddle.net, or by writing to support@martenslink.com. Cancelling takes effect at the next renewal: you keep access for the whole period you have already paid for, and after that the subscription does not renew. The free tier then applies, if the Service has one. Your Content is not deleted.
8.4 Price changes
We may change our prices. A new price applies to an existing subscription from the next renewal that falls at least 30 days after we have notified you by email. If you do not accept the new price, you can cancel before it applies.
8.5 Launch price
Customers who buy at a launch price (for example a lower yearly price for the first 100 customers) keep that price for as long as their subscription renews without interruption, even if our ordinary price rises. The launch price ends if the subscription is cancelled and runs out, or if payment fails and is not fixed within Paddle’s retry period. It stays with the subscription and cannot be moved to another subscription.
8.6 Discounts and offers
We may sometimes offer discounts or promotional prices. The terms of each offer, for example who it is for, how long it can be used and whether it also applies when the subscription renews, are shown where the offer appears and at checkout. Unless stated otherwise, an offer applies only to new purchases, cannot be combined with other offers, and gives no right to a refund or price reduction for payments already made.
8.7 Refunds
Our Refund Policy is part of these terms. It describes when you can get your money back, including a 14-day money-back guarantee. If you are a consumer in the EU, the EEA or the UK, you also have the statutory rights described there.
8.8 Failed payments
If a payment fails, Paddle will try again. If it still fails, we may move your account to the free tier, or suspend the paid tier, until payment is made.
8.9 Purchases in an app store
If you buy a Service or a subscription in an app store, for example Apple’s App Store, the app store sells it, takes payment and handles cancellation and refunds under its own terms. Sections 8.1–8.3, 8.7 and 8.8 then do not apply to that purchase, and our Refund Policy does not apply. The rest of these terms and the product terms apply as usual.
9. Support
Support is provided by email and through our website, in English and Swedish, on Swedish working days. We aim to answer within 3–5 working days, and sometimes later during busy periods such as launches. Support covers the use of our Services. It does not cover legal or tax advice, or problems in other services that we cannot influence.
10. Intellectual property
We, or our licensors, own the Services, including the software, design, texts, names and logos. These terms do not transfer any of those rights to you, other than the licence in section 6.
If you send us ideas or feedback, we may use them without obligation to you.
11. Availability
We aim to keep the Services available, but they may sometimes be unavailable, for example because of maintenance, errors, or problems with other services. We do not promise any particular availability. We do not keep backups of Your Content unless the product terms say otherwise. Keep your own copies of anything important.
12. Data you share with us in support
If you share Your Content with us when asking for help, and it contains personal data, we process that data on your behalf and only on your instructions, which are to investigate and solve your support case. For that processing we commit to the following:
- We use the data only to solve your case, and we do not use it for any other purpose.
- Only the people at MartensLink who handle your case can see it, and they are bound by confidentiality.
- We protect it with appropriate technical and organisational measures, including two-step verification on our accounts.
- We use Google Workspace (Google Ireland Limited) to receive and store support email. You authorise this. We will tell you before we add or change such providers, and you may object.
- We help you, as far as we reasonably can, to answer requests from the people the data is about and to meet your obligations regarding security, personal data breaches and impact assessments.
- We tell you without undue delay if we become aware of a personal data breach affecting your data.
- When the case is solved, we delete any copies of files that you sent us, and we delete the support conversation according to our Privacy Policy, unless the law requires us to keep it.
- We give you the information you need to show that these commitments are kept, and we allow reasonable audits, at your cost, with reasonable notice.
Please share as little personal data as possible. A screenshot with names blurred, or a copy with made-up data, is usually enough.
13. Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT PERMITTED BY LAW, MARTENSLINK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT RESULTS WILL BE ACCURATE.
If you are a consumer, this section does not affect your statutory rights, including your rights if the Services are faulty.
14. Limitation of liability
TO THE EXTENT PERMITTED BY LAW:
- MARTENSLINK IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFIT, REVENUE, CUSTOMERS, PARTICIPANTS, GOODWILL OR DATA, OR FOR COSTS OF CANCELLED OR DISRUPTED EVENTS OR ACTIVITIES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE;
- MARTENSLINK IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF OTHER SERVICES OR THIRD PARTIES, OR FOR LOSSES CAUSED BY YOUR CONTENT, YOUR SETTINGS, OR YOUR FAILURE TO CHECK WHAT THE PRODUCT TERMS ASK YOU TO CHECK;
- MARTENSLINK’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, OR 500 SEK IF YOU HAVE PAID NOTHING.
These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, for fraud, or for intentional or grossly negligent acts. Some jurisdictions do not allow certain limitations, so some of them may not apply to you. If you are a consumer, they do not affect your statutory rights.
A claim must be made in writing to us within one year of when you became aware, or should have become aware, of the circumstances behind it, unless the law gives you longer.
15. Indemnity
This section applies only if you use the Services as a business or organisation. You will defend and compensate MartensLink against claims from third parties, including your customers, participants and authorities, and against related reasonable costs, to the extent the claims arise from Your Content, your activities, how you have used the Services in breach of these terms, or your breach of law, including data protection and marketing law.
16. Suspension and termination
You can stop using a Service at any time, for example by uninstalling it, and cancel a subscription under section 8.3.
We may suspend or end your access, with notice where reasonable, if you materially breach these terms, do not pay, create a security or fraud risk, or repeatedly break the rules. If we end your access without such a reason, we will refund the unused part of any prepaid period.
If we stop offering a paid Service altogether, we will give you at least 90 days’ notice, and refund the unused part of any prepaid period.
Parts of these terms that by their nature should continue after you stop using a Service, or after the agreement ends, continue to apply. These include section 6 (the licence restrictions), 7, 10, 12, 13, 14, 15, 18 and 19, payments already due, and the corresponding parts of the product terms.
17. Changes to these terms
We may update these terms and the product terms.
Who we notify. Terms apply to you as set out in section 2. We notify you of a change if, when the change is made, you have a Service it concerns installed or a subscription to it. Product terms for a Service that you do not have do not apply to you, and when we add a new Service with its own product terms, the terms for the Services you already have do not change.
How and when. We notify you of changes to terms that apply to you at least 30 days before they take effect, by email or in the Service. The exceptions are:
- wording clarifications that do not change your rights or obligations;
- changes that the law or an authority requires sooner. We then notify you as soon as we can.
If you do not accept a change, you can stop using the Service and cancel your subscription before the change takes effect, and you will get a proportional refund for any prepaid period after that date. The date at the top shows when the terms were last updated.
18. Governing law and disputes
These terms are governed by Swedish law, without regard to its conflict of law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Disputes are settled by the courts of Sweden, with Stockholm District Court (Stockholms tingsrätt) as the first instance.
If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts there. Consumers in Sweden can turn to the National Board for Consumer Disputes (Allmänna reklamationsnämnden, arn.se). We will always try first to solve a problem directly with you, so please contact us.
19. Other terms
- Entire agreement. These terms, the product terms that apply to you and the documents they refer to form the whole agreement between you and us about the Services.
- Severability. If a court finds part of these terms invalid, the rest remains in force.
- No waiver. If we do not enforce a right at once, we do not give it up.
- Assignment. We may transfer this agreement to a company that takes over the Services, if your rights are not reduced. You may not transfer it without our written consent.
- Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control, such as outages at other services, natural disasters, war or official decisions.
- Language. These terms are available in English and Swedish. If they differ, the English version prevails, unless mandatory law says otherwise.
- Notices. We send notices to the email address connected to your purchase or your account, or show them in the Service. Send notices to us at support@martenslink.com.
